Terms and Conditions

You must notify us in writing immediately if you become aware of any disclosure of your password. You are also required to immediately change your password if you are aware of or suspect any breach or disclosure of your password.

You may cancel your account on our website by completing and submitting the Account Cancellation Request Form in your account control panel on the website. You will not be entitled to any refund if you cancel your account in accordance with this Section 9.2.  You may also temporarily make your online store inaccessible to buyers at any time from your account control panel. Making your account inaccessible to buyers will not affect billing in any way.

Seller stores that are submitted will be automatically processed within 24 hours following submission. Account verification will be completed within two (2) business days following submission of all required documentation. Store will only be available to buyers when the status is VERIFIED.

The only products or services that may be the subject of a listing on our website are products or service falling within the prevailing categories available to sellers. New categories may be requested for our consideration. Sellers are able to create custom sub-categories once they fall within the primary categories we have made available. We reserve the right to add, remove, or adjust any category or subcategory created by us or by any seller if we deem such categorizations inaccurate, inappropriate, illegal, or for any reason at our sole discretion.

You agree that a contract for the sale and purchase of a product or products will come into force between you and another registered website user, and accordingly that you commit to buying or selling the relevant products or services, in the following circumstances:

1. a buyer must add the products or services he or she wishes to purchase to the shopping cart, and then proceed to the checkout;
2. if the buyer is a new user, he or she must create a buyer account with the website and log in; otherwise, the buyer must enter his or her login details;
3. once the buyer is logged in, he or she must select the preferred method of delivery, where applicable, and confirm the order and his or her consent to these terms and conditions and the applicable terms and conditions of sale;
4. the buyer will be transferred to the website of the appointed payment service provider, and the payment service provider will handle the buyer's payment to the seller; buyers must submit payment in full via credit or debit card;
5. the website will then send to the buyer an automatically generated acknowledgement of payment;
6. once the seller has checked whether it is able to meet the buyer's order, the seller will send to the buyer an order confirmation (at which point the order will become a binding contract between the seller and the buyer) or the seller will confirm by email that it is unable to meet the buyer's order.

A seller must ensure that:

1. the seller's legal notices are sufficient to meet the seller's legal disclosure obligations and other legal obligations;
2. to the extent required by applicable law, the seller registers with relevant tax authorities and pays all relevant taxes in relation to the seller's product sales; and
3. the seller complies with all other laws of Saint Lucia applicable to their product and service listings and sales, including all laws governing consumer rights, consumer contracts (including handling and security of information, privacy, returns, cancellations and additional charges) and the electronic commerce regulations.

Except to the extent that a buyer and seller expressly agree otherwise (but subject to the mandatory requirements of applicable law), the following provisions will be incorporated into the contract of sale and purchase between the buyer and the seller:

1. the price for a product will be as stated in the relevant product or service listing;
2. delivery charges will only be payable by the buyer if this is expressly and clearly stated in the product listing or checkout page;
3. packaging charges, handling charges, administrative charges, insurance costs, other ancillary costs and charges, and VAT and other taxes may be included in product or service pricing based on seller operational imperatives and legal requirements;
4. deliveries of products must be made within 14 days following the date the contract of sale comes into force or such shorter period as the buyer and seller may agree;
5. appropriate means of delivery of products must be used by the seller; and
6. products and services must be of satisfactory quality, and must be fit for any purpose specified in, and conform in all material respects to, the product or service listing and any other description of the products or services supplied or made available by the seller to the buyer.

The buyer may withdraw an offer to enter into a contract with a seller through our website or cancel a contract entered into with a seller through our website (without giving any reason for the withdrawal or cancellation) at any time within the period:

1. beginning upon the submission of the buyer's offer; and
2. ending at the end of 7 business days after acceptance of the buyer's offer.

If the buyer cancels a contract on the basis described in this Section 15, the buyer must send the products back to the seller (to the address specified by the seller on our website) or hand them over to the seller or a person authorised by the seller to receive them. The buyer must comply with this obligation without undue delay and in any event not later than 14 days after the day on which the buyer informs the seller of the decision to cancel the contract. The buyer must pay the direct cost of returning the products.

If the buyer cancels an order in accordance with this Section 15, the buyer will receive from the seller a full refund of the amount paid to the seller in respect of the order excluding delivery or shipping fees and fees or commission deducted from the transaction total for use of this website to conduct the transaction, except as otherwise provided in this Section 15.

The seller will refund money using the same method used to make the payment or via alternative method. By using this website, buyer agrees this is the choice of the seller. However, in all circumstances, the seller will only refund the individual whose name appears on the payment method used to pay for the goods or services rendered. In any case, the buyer will not incur any fees as a result of the refund, except as otherwise provided in this Section 15.

Unless the seller has offered to collect the products, the seller will process a refund due to the buyer as a result of a cancellation on the basis described in this Section 15 within the period of 30 days after the day on which the seller receive the returned products or (if earlier and seller is in agreement to do so) after the day on which the buyer supplies to the seller evidence of having sent the products back. If the seller has not sent the products or commenced the provision of the service at the time of withdrawal or cancellation or has offered to collect the products, the seller will process a refund due to the buyer without undue delay and, in any case, within the period of 30 days after the day on which the seller is informed of the withdrawal or cancellation.

All amounts stated in these terms and conditions or on our website are stated inclusive of VAT where the seller is registered to collect VAT. Amounts stated by sellers who are not registered to collect VAT are stated exclusive of VAT. Notwithstanding the above, where an amount is explicitly stated as VAT inclusive or VAT exclusive, this shall be the VAT status of the amount stated. 

Promptly following receipt of a written request from us, you must supply to us any information and documentation that we may reasonably request in order to identify you or facilitate our compliance with our legal obligations relating to the taxation of payments made to us or processed by us under or in relation to these terms and conditions. We may supply such information and/or documentation to relevant government or tax authorities, financial institutions or financial regulatory authorities.

You acknowledge that:

1. we do not confirm the identity of website users, check their credit worthiness or bona fides, or otherwise vet them;
2. we do not check, audit or monitor the information contained in listings;
3. we are not party to any contract for the sale or purchase of products advertised on the website;
4. we are not involved in any transaction between a buyer and a seller in any way, save that we facilitate a marketplace for buyers and sellers and process payments on behalf of sellers;
5. we are not the agents for any buyer or seller,

and accordingly we will not be liable to any person in relation to the offer for sale or sale or purchase of any products or services advertised on our website; furthermore we are not responsible for the enforcement of any contractual obligations arising out of a contract for the sale or purchase of any products or services and we will have no obligation to mediate between the parties to any such contract.

You accept that we have an interest in limiting the personal liability of our shareholders, directors, officers and employees and, having regard to that interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against our shareholders, directors, officers or employees in respect of any losses you suffer in connection with the website or these terms and conditions (this will not, of course, limit or exclude the liability of the limited liability entity itself for the acts and omissions of our officers and employees).
